NO PURCHASE NECESSARY. OPEN ONLY TO GIRLS WHO ARE LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA, WHO ARE 13-18 YEARS OF AGE, ARE CURRENTLY ENROLLED IN GRADES 8-12 OR ENTERING FRESHMAN YEAR OF COLLEGE, AND ARE IN GOOD ACADEMIC STANDING.

 

  1. Promotion Timing: The Black Girls Lead Program Application (the “Promotion”) will begin at 11:59 p.m. Eastern Time (“ET”) on July 12, 2020 and will close at 1:00 a.m. ET on July 22, 2020 (the “Promotion Period”).

  2. Eligibility: The Promotion is open only to girls who are legal residents of the 50 United States and the District of Columbia, who are 13 through 18 years of age, are currently enrolled in grades 8 through 12 or entering freshman year of college, and are in good academic standing. Employees of Conopco, Inc., d/b/a Unilever (the “Sponsor”), their respective parents, subsidiaries, divisions, affiliates, suppliers, distributors and advertising, promotional and judging agencies, including Don Jagoda Associates, Inc., and the immediate family members (spouses, parents, children, and siblings and their spouses) and household members of each (whether related or not), are not eligible to participate or receive an Offer. Void where prohibited by law. All federal, state, and local laws and regulations apply.

  3. How to Enter: You must have your parent/legal guardian’s permission to enter this Promotion if you are a minor. To enter the Promotion, visit lead.blackgirlsrock.com (the “Website”) and complete the online entry form, including answering the following questions: 1) BLACK GIRLS ROCK!: What does the phrase “BLACK GIRLS ROCK!” mean to you and how has this movement impacted your generation?; 2) LEAD(HER)ship: What are your strongest leadership attributes?; 3) CREATE(HER): How are you using creativity and innovation to enhance your leadership skills?; 4) GROWTH: What do you hope to gain by participating in BLACK GIRLS LEAD?; and 5) EXPRESSION: How do you express your individuality?, to receive one entry (the “Entry”) into the Offer selection process, as described below. Each question must be answered in 100 words or less. Entrants must complete the registration form in its entirety and respond to all questions appropriately in order for the Entry to be eligible. All eligible Entries must be received by 11:59 p.m. ET on July 21, 2020 to be eligible for the Offer selection process, as described below. Entries become the property of Sponsor upon receipt and will not be acknowledged or returned. Sponsor is not responsible for lost, late, misdirected, corrupted, incomplete or damaged Entries.  Proof of sending or submission will not be deemed to be proof of receipt by Sponsor. The person uploading the Entry will be deemed the entrant (the “Entrant”). Limit one (1) Entry per person.

  4. Entry Requirements: By entering, you (or your parent/legal guardian if you are a minor in your state of residence) agree to waive any rights you may have to the Entry submitted. The Entry, or portion thereof, must not contain obscene, profane, lewd, defamatory or inappropriate content, or be disparaging to Sponsor, as determined in Sponsor’s sole discretion. Entries must be in keeping with Sponsor’s image and may not be offensive, as determined by Sponsor in its sole discretion, nor can an Entry defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights. Entrants may not copy or otherwise plagiarize the Entry from any source. All Entries must be the sole, original work of the Entrants and must be in English. Any Entry or portion thereof that is, in the Sponsor’s sole discretion, obscene, profane, lewd, defamatory, inappropriate, disparaging, offensive or contains proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable, will not be considered and may disqualify the Entrant. Entries should not contain any third-party materials (other than Emerge or Black Girls Lead), or otherwise violate or infringe (or possibly infringe) any copyright, trademark, logo, mark that identifies a brand. By submitting an Entry, Entrant (or her parent/legal guardian if she is a minor in her state of residence) grants to Sponsor (and to those acting on its behalf)  a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, fully sublicensable, and transferable right and license to use, reproduce, distribute, create derivative works based upon (including, without limitation, translations), publicly display, publicly perform, transmit, and publish the Entry (in whole or in part) as Sponsor, in its sole discretion, deems appropriate including, without limitation, (a) in connection with Sponsor’s business; and (b) in connection with the businesses of Sponsor’s successors, parents, subsidiaries, and their related companies. Sponsor may exercise this grant in any format, media or technology now known or later developed for the full term of any copyright that may exist in such Entry. By submitting an Entry, each Entrant (or her parent/legal guardian if she is a minor in her state of residence) represents and warrants that the Entry meets all of the submission requirements set forth herein and that the distribution, reproduction, display and any other uses of any part of the Entry by Sponsor as permitted herein will not infringe any third-party rights. Each Entrant (or her parent/legal guardian if she is a minor in her state of residence) further agrees to indemnify and hold Released Parties (defined below) harmless from and against any and all claims, demands, damages, costs, liabilities and causes of action of whatsoever nature that are based upon or arise out of any breach by such Entrant of such warranties or representations made by Entrant or of these Official Rules. Instagram is not affiliated with this in any way and is not responsible for the administration of the Promotion or the awarding of the Offers. Automated, script, macro or robotic Entries will be disqualified, if discovered by Sponsor or Administrator. Any Entry not in compliance with the above and which does not meet the requirements of these Official Rules will be disqualified.

  5.  Offer Selection: On or about July 23, 2020, up to one thousand (1,000) Offer Recipients (“Offer Recipients”) will be selected in a random drawing from among all eligible Entries received. Drawing will be conducted by Black Girls Rock, and whose decisions are final on all matters relating to the Promotion. Odds of being selected to receive an Offer (“Offer”) are dependent upon the number of eligible Entries received. Entries will not be judged.

  6.  Offer (Up to 1,000): The opportunity to participate in a 2-day virtual course of various workshops and activities on or about July 31, 2020 through August 1, 2020. There is no retail value associated with the registration. Tickets for Offer Recipients must be used on specified dates or the Offer will be forfeited. All details of the Offer are in Sponsor’s sole discretion. No substitution or transfer of registration/tickets permitted except at the sole discretion of the Sponsor who reserves the right to substitute an Offer of equal or greater perceived value in the event the Offer is unavailable. Acceptance of Offer constitutes permission for the Sponsor and its agencies to use Offer Recipients’ names and likenesses for purposes of advertising and trade without further compensation, unless prohibited by law.

  7. General Rules: Each Offer Recipient (or parent/legal guardian if she is a minor in her state of residence) will be contacted via email and will be required to sign and return via email, an Affidavit of Eligibility, liability/publicity release (except where prohibited by law) and assignment of rights (as applicable) (collectively, “Affidavit”) within forty-eight (48) hours (including weekends) of notification attempt or the Offer   will be forfeited and awarded to an alternate Entrant. Return of any Offer notification as undeliverable may result in disqualification and alternate selection. By participating in the Promotion, Entrants (or Entrant’s parent/legal guardian if Entrant is a minor in her state of residence) agree to be bound by these Official Rules and the decisions of the Sponsor and Administrator. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Entries become the property of the Sponsor. The Sponsor and their agencies and Administrator are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Website or the Promotion or by any human error which may occur in the processing of the Entries in the Promotion or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with the Website or Promotion. In the event of a dispute as to any Entry, the authorized account holder of the email address used to enter will be deemed to be the Entrant. “Authorized account holder” of an email address is defined as the natural person who is assigned to an email address by an Internet Access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Sponsor, and/or Administrator (as identified in these Official Rules) are not responsible for the failure of any email or Entry to be received by Sponsor/Administrator on account of technical problems or congestion on the internet or at any website. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Promotion or Website; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to undermine the legitimate operation of the Promotion or Website may be in violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. If, for any reason, the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion or Website, then the Sponsor reserves the right at its sole discretion to cancel the Promotion and select the Offer Recipients at random from among all eligible Entries received prior to cancellation. By entering the Promotion, you (and your parent/legal guardian if a minor in her state of residence) hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents.

  8. Release and Limitations of Liability: By participating in the Promotion, Entrants, and Offer Recipients (or parent/legal guardian if Entrant/Offer Recipient is a minor in her state of residence) agree that Sponsor, BLACK GIRLS ROCK, and their respective parents, subsidiaries, affiliated companies, agents, retailers, advertising and Promotion agencies, and all of their respective shareholders, officers, directors, employees and assigns, members, representatives and agents (collectively, the “Released Parties”), will have no liability whatsoever for, and will be held harmless by Entrant (or parent/legal guardian if Entrant is a minor in her state of residence)  for any liability for any bodily injury, loss, cost or damages of any kind to persons, including death and property, damages sustained due in whole or in part, directly or indirectly, from Entry creation, the acceptance, possession, use or misuse of the Offers or parts thereof, if applicable or participation in the Promotion or participation in any Promotion or related activity. Entrants further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Promotion, and in no event shall the Released Parties be liable for attorneys’ fees. Entrants (or parent/legal guardian if Entrant is a minor in her state of residence) waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

  9. Governing Law, Jurisdiction and Venue: SPONSOR IS REGISTERED UNDER THE LAWS OF THE UNITED STATES WITH HEADQUARTERS IN NEW JERSEY. THE NEW JERSEY COURTS (STATE & FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE PROMOTION AND THE LAWS OF THE STATE OF NEW JERSEY SHALL GOVERN THE SAME. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND HEREBY IRREVOCABLY SUBMITS TO THE VENUE OF THOSE COURTS WITHIN NEW JERSEY.

  10.  Entrants’ Personal Information: Information collected from Entrants is subject to Sponsor’s Privacy Policy, located at http://www.unileverusa.com/resource/privacynotice/index.aspx.
